Terms and Conditions

These Terms and Conditions ("Terms") form a legally binding agreement between you and NOVA4 LLC ("Daroore", "we", "us" or "our"), a company registered in Lebanon with its registered office at Presidential Palace road, Baabda, Lebanon, governing your access to and use of the Daroore mobile application and related websites and services (the "Service").

By downloading, accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

1. Acceptance of the Terms

These Terms apply to all users of the Service. We may offer additional terms for certain features; where they conflict with these Terms, the additional terms govern for those features. The Privacy Policy is incorporated into these Terms by reference.

2. Definitions

• "Content" means any text, images, video, documents or other materials available through the Service.
• "User Content" means Content you submit, including listings, business-claim information and uploaded media.
• "Listing" means a service-provider profile discoverable through the Service.

3. Eligibility

You must be at least 16 years old to use the Service. By using it, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into these Terms. If you use the Service on behalf of a business, you represent that you are authorized to bind that business.

4. Accounts and verification

Access to certain features requires an account. We verify your phone number using a one-time password delivered via WhatsApp. You agree to provide accurate information, to keep it current, and to keep your device and credentials secure. You are responsible for all activity under your account. Notify us promptly at [email protected] of any unauthorized use.

5. License to use the Service

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use the Service for your personal, non-commercial use (or, for businesses, to manage your own listings). All rights not expressly granted are reserved.

6. Acceptable use

You agree not to, and not to permit others to:

• violate any law or the rights of others, or post false, misleading, defamatory, infringing, obscene or harmful Content;
• impersonate any person or business, or claim a business you are not authorized to represent;
• upload malware, attempt to gain unauthorized access, scrape, reverse engineer, or interfere with the Service or its security;
• use the Service to send spam or unsolicited communications, or to harvest others' data;
• misuse contact features (phone, WhatsApp, directions) or harass service providers or users;
• circumvent, disable or interfere with usage limits, rate limits or fraud-prevention measures.

7. User Content and business claims

You retain ownership of your User Content. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, adapt, publish and display it for the purpose of operating, promoting and improving the Service. You represent and warrant that you own or have the necessary rights to your User Content and that it does not violate these Terms or any law.

Business claims: when you claim a listing you must provide accurate identifying and contact information and may be asked to verify your authority. We may review, approve, reject, suspend or remove claims and listings at our discretion, including where information appears inaccurate, fraudulent or in breach of these Terms. We may remove or disable any User Content that we believe violates these Terms or the law.

8. Service-provider listings and interactions

The Service is a directory and discovery platform. Listings and their information are provided by service providers or compiled from available sources and are not endorsements. We do not guarantee the accuracy, availability, quality, legality or safety of any listing, service provider or the services they offer. Any interaction, communication, booking or transaction between you and a service provider is solely between you and that provider, at your own risk. You should exercise your own judgment and due diligence.

9. Fees

The Service is currently provided free of charge to end users. There are no in-app purchases or subscriptions for users. We reserve the right to introduce paid features in the future; if we do, we will present applicable terms and obtain any required consent before any charge applies. We may modify, suspend or discontinue any part of the Service at any time without liability.

10. Intellectual property

The Service, including its software, design, text, graphics, logos and trademarks (excluding User Content), is owned by or licensed to NOVA4 LLC and is protected by intellectual-property laws. Except for the license in Section 5, nothing in these Terms transfers any right, title or interest in the Service to you.

11. Third-party services and links

The Service integrates with or links to third-party services (for example WhatsApp for verification and contact, device phone dialers, and map/navigation applications). Your use of those services is governed by their own terms and policies, and we are not responsible for them.

12. Disclaimers

To the maximum extent permitted by law, the Service and all Content are provided "as is" and "as available" without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or that defects will be corrected, or that any listing or information is accurate or reliable.

13. Limitation of liability

To the maximum extent permitted by law, NOVA4 LLC and its directors, employees and agents shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or other intangible losses, arising out of or relating to your use of (or inability to use) the Service, any dealings with service providers, or any User Content. To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Service shall not exceed the greater of (a) the amount you paid us, if any, in the twelve (12) months before the event giving rise to the claim, or (b) one hundred US dollars (USD 100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

14. Indemnification

You agree to indemnify, defend and hold harmless NOVA4 LLC and its officers, directors, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or related to your User Content, your use of the Service, your interactions with service providers, or your breach of these Terms or any law or third-party right.

15. Suspension and termination

We may suspend or terminate your access to the Service at any time, with or without notice, if you breach these Terms or to protect the Service, other users or third parties. You may stop using the Service and delete your account at any time from within the app. Sections that by their nature should survive termination (including Sections 7, 10, 12, 13, 14 and 16) will survive.

16. Governing law and dispute resolution

These Terms are governed by the laws of Lebanon, without regard to conflict-of-laws principles. Subject to any mandatory consumer-protection rights you may have in your country of residence, you and we agree that the competent courts of Beirut, Lebanon shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service. Before commencing any formal proceedings, you agree to first contact us at [email protected] to seek an amicable resolution.

17. Apple App Store — additional terms

If you obtained the app from the Apple App Store, the following applies and prevails to the extent of any conflict with these Terms for iOS use:

• These Terms are between you and NOVA4 LLC only, not with Apple; Apple is not responsible for the app or its content.
• The license granted is limited to use on Apple-branded devices you own or control, as permitted by the App Store Terms of Service.
• Apple has no obligation to provide any maintenance or support for the app.
• To the extent permitted by law, Apple has no warranty obligation; any failure to conform to a warranty is our responsibility, and any applicable refund will be handled by Apple.
• Apple is not responsible for addressing any claims relating to the app, including product-liability, regulatory or intellectual-property claims.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
• You represent that you are not located in a country subject to a U.S. Government embargo or designated a "terrorist supporting" country, and are not on any U.S. Government list of prohibited or restricted parties.

18. Google Play — additional terms

If you obtained the app from Google Play, your use is also subject to the Google Play Terms of Service and applicable Google policies. To the extent of any conflict regarding distribution via Google Play, those terms apply in addition to these Terms.

19. Changes to these Terms

We may modify these Terms from time to time. Material changes will be notified through the Service or by other reasonable means, and the "Last updated" date above will be revised. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

20. General

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force. Our failure to enforce any right is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. These Terms, together with the Privacy Policy and any additional terms, constitute the entire agreement between you and us regarding the Service. Neither party is liable for failure to perform due to events beyond its reasonable control (force majeure).
